3. Client Responsibilities
You are responsible for providing SnapZA with the necessary information, materials, and resources to complete the services. 4. Fees and Payments
You agree to pay all fees associated with the Services as outlined in your agreement with SnapZA. Payment terms, including payment methods and due dates, will be specified in the contract for the services you have requested. All fees are non-refundable, unless otherwise stated in writing.
5. Intellectual Property
SnapZA retains ownership of all intellectual property, including but not limited to logos, content, designs, and marketing materials created as part of the Services. Upon full payment, you will have the right to use these materials for your business purposes as agreed upon. You may not modify, distribute, or sell any of the intellectual property without our prior written consent.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of providing the Services. This includes any business or marketing strategies, customer data, or financial information that is not publicly available.
7. Limitation of Liability
To the maximum extent permitted by law, SnapZA will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising out of or in connection with these Terms or the use of our Services will not exceed the amount paid by you for the Services during the three (3) months preceding the event giving rise to the claim.
8. Termination
SnapZA may terminate or suspend your access to our Services at any time, without notice, if we believe you have violated these Terms. You may also terminate the Services by providing written notice to SnapZA. Upon termination, all fees owed up until the termination date will remain payable, and you will cease to use any SnapZA intellectual property.
9. Amendments to the Terms
SnapZA reserves the right to modify these Terms at any time. We will notify you of any material changes to these Terms by posting the updated Terms on our website. The updated Terms will be effective immediately upon posting, and by continuing to use our Services, you agree to be bound by the updated Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of South Africa. Any disputes or claims arising from these Terms will be resolved in the courts located in South Africa, and you consent to the exclusive jurisdiction of those courts.
11. Force Majeure
SnapZA will not be liable for any failure or delay in the performance of our Services if such failure or delay is caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, or technical failures.
